Terms of Service
Effective 6 September 2026 · Version 2.0 · Operated by Brewcode LLC
Agreement
These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your" or "Subscriber") and Brewcode LLC ("Brewcode", "FirstAsk", "we", "us" or "our") governing your access to and use of the FirstAsk website, web application, email and chat deliveries, application programming interface, webhooks and related services (collectively, the "Service"). FirstAsk is a product of Brewcode LLC, a limited liability company organised under the laws of the State of Delaware, USA, and a subsidiary of Brewcode Technologies Private Limited (India).
By creating an account, accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, Refund Policy and Data Processing Addendum, each of which is incorporated by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes it. If you do not agree with any part of these Terms, you must not access or use the Service.

2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. The Service is offered to businesses and professionals; it is not intended for consumers or personal, family or household use. By using the Service you represent and warrant that:
- you have the legal capacity to enter into these Terms;
- you are not barred from using the Service under the laws of any applicable jurisdiction, and you are not located in, or a national of, any country or region subject to comprehensive sanctions or export restrictions;
- you will comply with these Terms and all applicable local, national and international laws and regulations; and
- all registration information you provide is accurate, current and complete.
3. Accounts and security
To access most features you must create an Account. You may register with an email address and password or via a supported third-party sign-in provider. You agree to keep your Account information accurate and up to date.
- You are responsible for maintaining the confidentiality of your credentials, API keys and webhook secrets, and for all activity that occurs under your Account, whether or not authorised by you.
- You must notify us immediately at [email protected] of any unauthorised use or suspected breach of your Account.
- We are not liable for any loss or damage arising from your failure to safeguard your credentials or from any unauthorised access resulting from such failure.
- Seats are for named individuals within one organisation. You may not share, sell or transfer your Account or a Seat, and you may not create an Account on behalf of any other person or entity without authorisation.
4. What the Service is, and is not
FirstAsk discovers Source Posts on public sources, uses automated systems (including large language models) to summarise, classify and score them, and delivers the resulting Leads that match your Profile by portal, email, chat integration, webhook or API. We index and link to public material; we do not create, verify or endorse Source Posts, and we are not a party to any dealing between you and a Poster.
By using the Service you understand and agree that:
- No outcome is guaranteed. We surface publicly posted opportunities. We do not promise responses, meetings, contracts, revenue, or any particular number, quality or timing of Leads. Match scores, budget estimates, urgency, legitimacy signals, contact paths, suggested openers and every other derived field are produced by automated systems, may be inaccurate or incomplete, and are provided for your convenience only.
- There is no exclusivity. Leads originate from public sources and are delivered to every Subscriber whose Profile matches. Other Subscribers, and anyone else who reads the same Source Post, may contact the same Poster. Where we show how many Subscribers have received a Lead, that figure is an estimate.
- Sources change. Sources may change, break, restrict access or disappear at any time. We may add, pause, throttle or remove any source, and change how often we collect from it, without notice.
- Leads expire. Source Posts are frequently filled, withdrawn or deleted. We may hide, expire or delete Leads at any time, and we make no commitment to keep any Lead available for any period.
- Nothing here is professional advice. The Service does not provide legal, financial, procurement or business advice, and no Lead or derived field should be relied on as such.
5. Third-party content
Source Posts are written and published by third parties. We do not verify the identity of Posters, the accuracy of claims made in Source Posts, the existence or size of any budget, or the legitimacy of any opportunity, and we exclude nothing on the basis of accuracy alone. Any contact details shown are exactly what the Poster themselves made public; we never enrich them from third-party databases.
If a Lead is a scam, is closed, infringes rights, or is otherwise wrong, flag it in the portal or email [email protected] and we will review it. We may, but are not obliged to, remove or restrict any Lead. We do not endorse, and are not responsible for, the content, conduct or offers of any Poster or source platform.
6. Your outreach is your responsibility
How, whether and when you contact a Poster is entirely your decision and your responsibility. You are solely responsible for:
- compliance with anti-spam, marketing and privacy laws that apply to you and to the Poster, including CAN-SPAM, CASL, GDPR, UK GDPR, PECR, the TCPA, India's DPDP Act and their equivalents;
- compliance with the rules and terms of the platform on which the Source Post appeared, including any rule that forbids off-platform contact or unsolicited messages. Where we detect such a rule we may flag it, but you must check;
- the content of every message you send, every representation you make, and every agreement you enter into with a Poster; and
- any consequence of your outreach, including suspension of your own accounts on third-party platforms.
We never contact Posters on your behalf, and we never email or message the people who publish Source Posts. Suggested openers and similar drafting features are optional aids; you are responsible for reviewing, editing and sending any message.
7. Plans, billing and renewal
- Plans and limits. Features and limits (Profiles, verticals, Seats, delivery timing, sources, alert caps, API rate limits, history) are described on our Pricing page and may change from time to time. On a downgrade or lapse we deactivate what exceeds the new limits; we do not delete Your Content for that reason alone.
- Payment. Paid Plans are billed in advance, monthly or annually, through our payment processor (currently Stripe). You authorise us and our processors to charge your selected payment method on each renewal until you cancel.
- Automatic renewal. Paid subscriptions renew automatically at the end of each billing period unless cancelled beforehand from the billing page. Cancellation stops future renewals and takes effect at the end of the current period; you retain access until then.
- Taxes. All fees are stated exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST, withholding or similar taxes.
- Price changes. We may change prices and Plan contents. Changes apply to renewals and future purchases and will be communicated with at least 30 days' notice by email. If you do not wish to renew at a changed price, cancel before the renewal date.
- Disputes. All charges are considered valid unless disputed in writing within thirty (30) days. Refunds, where available at all, are governed solely by our Refund Policy, which provides that payments are final and non-refundable except in the narrow cases it lists.
- Free Plan. We may change, limit or withdraw the free Plan at any time, and may close free Accounts that are inactive for an extended period.
8. Acceptable use
You agree that you will not, and will not permit others to:
- resell, redistribute, sublicense, publish or otherwise make the Leads or any part of the Service available to anyone outside your organisation, except as expressly permitted by the export features of your Plan;
- scrape, crawl, bulk-download or systematically extract Leads or other data from the Service other than through the CSV export, API and webhook features included in your Plan, within their stated rate limits;
- use the Service to build, train or populate a contact database, marketing list, competing product or data set of Posters;
- use the Service to harass, threaten, deceive or defraud any Poster, or to send unsolicited bulk messages;
- circumvent Plan limits, rate limits, Seat limits, paywalls or access controls, or share credentials to do so;
- reverse engineer, decompile or attempt to extract the source code, prompts, models or scoring logic of the Service;
- introduce malware, attempt to gain unauthorised access, or interfere with the integrity or performance of the Service; or
- use the Service in violation of any applicable export-control, sanctions or anti-money-laundering laws.
Violation of this Section may result in immediate suspension or termination of your Account without refund, removal of Your Content and, where appropriate, referral to law enforcement.
9. Intellectual property
- Our property. The Service, including its software, prompts, models, scoring, design, databases, compilations of Leads, trademarks and logos, is owned by Brewcode or its licensors and protected by law. Except for the rights expressly granted to you, no licence or right is conveyed by these Terms. "FirstAsk" and "Brewcode" and associated marks may not be used without our prior written permission.
- Your licence. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and the Leads for your organisation's internal business development during your subscription.
- Your Content. As between you and Brewcode, you retain ownership of Your Content. You grant Brewcode a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit and display Your Content solely to the extent necessary to operate, provide, secure and improve the Service, and to comply with law.
- Feedback and usage data. We may use feedback you give about Leads or the Service, and aggregated or de-identified data derived from use of the Service (which does not identify you or any individual), to operate, analyse and improve our products without obligation to you.
- Source Posts. Source Posts belong to their Posters or the platforms on which they appeared. We store excerpts and summaries and link to the original; you must follow the source platform's terms when you use its content.
10. API, webhooks and exports
Where your Plan includes the API, webhooks or CSV export, you may use them only for your own internal systems, within the documented rate limits, and only while your subscription is active. We may change, version, rate-limit or withdraw the API and webhooks with reasonable notice. Data you export leaves the Service; you become independently responsible for it, including honouring any deletion request we forward to you about a Lead you exported (see the Data Processing Addendum).
11. Third-party services
The Service integrates with third-party providers, including payment processors, cloud hosting, email delivery, chat platforms and sign-in providers, and collects from third-party sources. Your use of those services may be subject to their own terms and policies. Brewcode is not responsible for the acts, omissions, availability, terms or content of third parties, and any dealings you have with them, including with any Poster, are solely between you and the third party.
12. Privacy and data
Our Privacy Policy explains what we collect and why, including the limited personal data we process about Posters. You can export Your Content and delete your Account from account settings; deletion takes effect after a 30-day grace period. Where you act as a controller of personal data processed through the Service, the Data Processing Addendum applies.
13. Suspension and termination
- You may stop using the Service and close your Account at any time. Closing your Account does not entitle you to any refund of fees already paid.
- We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or possible legal exposure for us or for any Poster or source platform, fail to pay amounts due, or for prolonged inactivity.
- Upon termination your right to use the Service ceases immediately, API keys and webhooks are revoked, and we may delete Your Content after the grace period described in the Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification and governing law) will survive.
14. Disclaimers
The Service and every Lead are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that defects will be corrected; that any Lead will be accurate, current, legitimate, contactable or suitable for your business; that any source will remain available; or that Your Content will not be lost, altered or corrupted. You use the Service, and rely on any Lead, at your own risk. No advice or information, whether oral or written, obtained from us creates any warranty not expressly stated in these Terms.
15. Limitation of liability
To the maximum extent permitted by law, Brewcode, its parent, affiliates, officers, directors, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, contracts, data, goodwill or other intangible losses (including any Lead that did not convert, any opportunity missed or answered late, or any action taken by a Poster or a source platform against you), arising out of or relating to your use of or inability to use the Service, any Lead, any Source Post, any third-party service, or any downtime, security incident or loss of data — whether based on warranty, contract, tort (including negligence), strict liability or any other legal theory, and whether or not we have been advised of the possibility of such damages.
In no event will the aggregate liability of Brewcode and its affiliates for all claims relating to the Service exceed the greater of (a) the total amount you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the maximum extent permitted by law.
16. Indemnification
You agree to defend, indemnify and hold harmless Brewcode and its parent, affiliates and their respective officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with Your Content, your outreach to or dealings with any Poster, your use of the Leads or the Service, your export or onward use of any data, or your violation of these Terms, any third-party right, any platform rule or any applicable law. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us.
17. Changes to the Service and Terms
We may modify, suspend or discontinue the Service, or any part of it, and may modify these Terms from time to time. If we make material changes to these Terms we will provide reasonable notice, such as by email or an in-app notice, and update the effective date above. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
18. Governing law and dispute resolution
- Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles, and, where applicable, by the federal laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Informal resolution and venue. Before filing any claim, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least thirty (30) days. If the dispute is not resolved, you and Brewcode agree to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, USA, and waive any objection to such venue, except where mandatory local law provides otherwise.
- Class-action waiver. To the maximum extent permitted by law, disputes must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective or representative proceeding.
- Time limit. Any claim arising out of or relating to the Service must be filed within one (1) year after it arose, or it is permanently barred, to the extent permitted by law.
19. Force majeure
We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, government action, pandemic, power or internet failures, or failures, changes or restrictions of third-party providers, source platforms, infrastructure or payment networks.
20. General
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy and Data Processing Addendum, constitute the entire agreement between you and Brewcode regarding the Service and supersede all prior agreements. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely, including to an affiliate or successor. Section headings are for convenience only.
